By accessing or using Soundr8, creating an account, or otherwise interacting with the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
If you use the Service on behalf of a company, organisation, or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms, and "you" and "your" will refer to both you and that entity.
You must be at least 13 years old to use Soundr8, or older if the laws of your country require a higher minimum age to use social or digital services. By using the Service, you represent and warrant that you meet the applicable age requirement and have the legal capacity to agree to these Terms.
If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian.
Soundr8 is a social music rating platform that allows users to create profiles, rate albums and tracks, share ratings, reviews, and other content, follow other users, interact with user content, and discover music through social features and third-party music data integrations.
We may modify, suspend, discontinue, or restrict any part of the Service at any time, with or without notice, where reasonably necessary for operational, technical, legal, or business reasons.

You are responsible for all activity that occurs under your account, whether or not authorised by you, unless caused by our failure to exercise reasonable care.
We reserve the right to refuse registration, require username changes, reclaim usernames, suspend accounts, or terminate accounts where necessary to enforce these Terms, protect the Service, comply with legal obligations, or prevent harm.

You may be able to submit, post, upload, publish, or otherwise make available ratings, reviews, text, profile images, usernames, reactions, and other materials through the Service ("User Content").
You retain ownership of any intellectual property rights you hold in your User Content. However, by submitting or posting User Content to the Service, you grant Soundr8 a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, modify for technical purposes, adapt, publish, display, distribute, and otherwise use that User Content solely for the purposes of operating and providing the Service, displaying and sharing your content within the Service, improving and promoting the Service, and enforcing our policies and these Terms.
This licence ends within a commercially reasonable period after your User Content is deleted from the Service, except to the extent the content has been shared with others, retained for legal, safety, or backup purposes, or is required for compliance, dispute resolution, or enforcement.
You represent and warrant that you own or control all rights necessary to submit your User Content, that it does not violate these Terms or any law, and that it does not infringe any third-party rights.
We may, but are not obligated to, monitor the Service, review User Content, and investigate conduct for compliance with these Terms and applicable law. We may use automated tools, human review, and user reports for moderation and safety purposes.
We reserve the right, in our sole discretion, to remove, restrict, disable access to, or refuse to publish any User Content, and to suspend or terminate accounts, where we believe it is necessary to enforce these Terms, protect users or third parties, prevent abuse or fraud, or comply with applicable law.
The following conduct is strictly prohibited and may result in immediate removal of content, suspension or termination of the account, and referral to law enforcement or other authorities where appropriate:
Profile photos and other images uploaded to Soundr8 may be subject to automated or manual review. We may reject or remove images that contain nudity, sexual content, graphic violence, hate symbols, extremist content, weapons imagery, illegal content, or other material we reasonably consider inappropriate or unsafe for the Service. Repeated or serious violations may result in account restrictions or termination.
Soundr8 may integrate with or rely on third-party services, including music platforms, identity providers, analytics providers, and music metadata providers. We do not own album artwork, artist names, track information, or similar music-related metadata made available through third-party APIs. Such content remains the property of its respective owners and rights holders. We are not responsible for the availability, accuracy, or reliability of third-party services or content.
The Service, including its software, design, layout, branding, logos, features, text, graphics, and other proprietary elements, is owned by or licensed to Soundr8 and is protected by intellectual property and other applicable laws. Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, reverse engineer, or otherwise exploit any part of the Service without our prior written consent.
If you provide suggestions, ideas, comments, or other feedback regarding Soundr8, you agree that we may use that feedback without restriction or compensation to you, and without any obligation to acknowledge or keep it confidential.
We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, if you violate these Terms, we reasonably believe your use poses a risk to the Service or other users, we are required to do so by law, or we discontinue the Service.
You may stop using the Service at any time and may delete your account through available account settings. Termination does not require immediate deletion of all associated data, and we may retain certain information as permitted or required by law.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Soundr8 disclaims all warranties of any kind, whether express, implied, or statutory. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any content or data will be accurate or reliable.
To the fullest extent permitted by applicable law, Soundr8 and its associated parties will not be liable for any indirect or consequential damages, including loss of profits, data, or business. Total liability will not exceed the amount you paid in the previous 12 months, or €100, whichever is greater. Nothing in these Terms limits liability that cannot legally be excluded.
You agree to indemnify, defend, and hold harmless Soundr8, its founders, owners, officers, employees, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your User Content, or your violation of any law or third-party rights.
These Terms are governed by the laws of Italy. Any disputes will be subject to the jurisdiction of Italian courts, unless otherwise required by applicable consumer protection laws.
We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.
